Documents against acceptance（D/A）: The Buyer shall duly accept the Seller’s documentary Bill of Exchange drawn at ____ sight on the Buyer,and the documents shall be delivered against the Buyer’s acceptance.

□货到付款：买方在目的港收到货物后______天内将全部货款支付给卖方。

Cash on delivery（COD）: The Buyer shall pay 100% of the invoice value to the Seller with _____days upon the receipt of the goods at the port of destination.

18.单据 Documents:

（1）卖方提供的各项单据均须使用与本合同相一致的文字，以便买方审核查对。

To facilitate the Buyers to check up all documents provided by the Seller should be made in a version identical to that used in this contract.

A．填写通知目的口岸________运输公司的空白抬头、空白背书的全套已装船的清洁提单。（如本合同为FOB价格条款时，提单应注明“运费到付”或“运费按租船合同办理”字样；如本合同为CIF价格条件时，提单应注明“运费已付”字样。）

Complete set of Clean On Board Shipped bill of Lading made out to order, blank endorsed, notifying the__________at the port of destination. (if the price in this Contract is based on FOB, marked “freight payable at destination” or “freight as per charter party” if the price in this Contract is based on CIF, marked “freight prepaid”.)

B．发票：注明合同号、唛头、载货船名及信用证号(如采用信用证结算)，如果分批装运，须注明分批号。

Invoice：indicating contract number, shipping marks, name of carrying vessel, number of the Letter of Credit（if on terms of L/C） and shipment number in case of partial shipments.

C．装箱单及(或)重量单:注明合同号及唛头，并列明毛重、净重。

Packing list and（or） Weight Memo: indicating contract number, shipping marks, gross and net weights of each package.

D．制造工厂出具的品质及数量、重量证明书。

Certificates of Quality and Quality/Weight of the contracted goods issued by the manufacturers.

E.保险单或保险凭证（如本合同第17条规定需由卖方投保）：注明空白背书。

Insurance policy or certificate(if insurance covered by the Seller as per Clause 17 of this Contract):endorsed in blank.

F．按本合同第20条规定的装运通知抄本。

Copy of advising shipment according to Clause 20 of this Contract.

（2）卖方应在装运后_____日内空邮一套上述单据（不含F项）给买方，并在装运后______小时内传真一套给买方。

The Seller shall, within _____days after shipment, send by airmail one set of aforesaid documents（except item F）directly to the Buyer and one set to the Buyer by Fax within _____hours after shipment.

19.装运条款 Terms of Shipment:

（1）FOB条款  Terms of FOB Delivery:

A．装运本合同货物的船只，由买方或买方运输代理人租订舱位。货物装到船舶前的一切费用和风险由卖方承担。

For the goods ordered in this Contract, the carrying vessel shall be arranged by the Buyer or the Buyer’s Shipping Agent. The Seller shall bear all the charges and risks until the goods are effectively loaded on board the carrying vessel.

B．卖方应在合同规定的交货期前______天，将合同号码、货物名称、数量、装运口岸及预计货物运达装运口岸日期，以传真/电邮通知买方和买方的装运口岸运输代理人，以便安排舱位。

The Seller shall advise the Buyer by fax/E-mail, and simultaneously advise the Buyer’ shipping agent at the loading port, _____days before the contracted time of shipment, of the contract number, name of commodity, quantity, loading port and expected date of arrival of the goods at the loading port, enabling the Buyer to arrange for shipping space.

 C．买方应在船舶受载期______天前将船名、预计受载日期、装载数量、合同号码、船舶代理人，以传真/电邮通知卖方。卖方应相应联系船舶代理人配合装船。如买方因故需要变更船只或更改船期时，买方或船舶代理人应及时通知卖方。

The Buyer shall advise the Seller by cable, ____ days before the expected loading date, of name of vessel，the estimated loading date, quantity to be loaded, contract number, and shipping agent. The Seller shall then arrange with the shipping agent for loading accordingly. In case of necessity for substitution of vessel or alteration of shipping schedule, the Buyer or the shipping agent shall duly advise the Seller to the same effect.

D．买方所租船只按期到达装运口岸后，如卖方不能按时备货装船，买方因而遭受的损失包括空舱费、延期费及罚款等由卖方负担。如船只不能由船舶代理人所确定的受载期内到达，在港口免费堆存期满后第_____天起发生的仓库租费、保险费由买?负担。

In the event of the Seller’s failure in effecting shipment upon arrival of the vessel at the loading port, the losses, including dead freight, demurrage fines ect. thus incurred shall be for Seller’ account. If the vessel fails to arrive at the loading port within the laydays previously by the shipping agent, the storage charges and insurance premium from the _____ day after expiration of the free storage time at the port shall be borne by the Buyer.

（2）CIF和CFR条款   Terms of CIF and CFR Delivery:

卖方须按时在装运期限内，在装运港将货物装上船。

The Seller shall effect shipment duly within the period of shipment at the port of shipment.

20.装运通知 Advice of shipment：

卖方在货物装船后，应在______小时内以传真/电邮方式将合同号、品名、件数、毛重、净重、发票金额、载货船名及装船日期通知买方。

The Seller shall, upon completion of loading, within _______hours,advise immediately the Buyer by fax/E-mail of the contract number, name of commodity, number of package, gross and net weights, invoice value, name of vessel and loading date.

21.质量保证 Guarantee of Quality：

卖方保证货物完全符合本合同规定的质量、规格和性能。卖方保证本合同货物在正确安装、正常使用和维修的情况下，自货物到达到货口岸之日起________个月内合格。

The Seller shall guarantees that the goods in all respects correspond with the quality, specifications and performance as stipulated in this Contract. The Seller shall also guarantee that the goods when correctly installed and properly operated and maintained, will give satisfactory performance for a period of ______ months starting from the date on which the goods arrive at the port of destination.

22.检验和索赔 Inspection and Claims:

（1）货物到达到货口岸后，买方有权申请________________（以下称检验机构）就货物进行检验，如发现任何不符，除应由保险公司或船公司负责者外，买方有权于货物在到货口岸卸货后_____天内凭该机构出具的检验证书向卖方索赔。

After arrival of the goods at the port of destination, the Buyer have the right to apply to _________________________ (hereinafter as refered to the Institution) for inspection of the goods. If any discrepancies are found, except those for which either the insurance company or the shipping company is responsible, the Buyer shall, within ______days after discharge of the goods at the port of destination, be entitled to claim against the Seller with the Inspection Certificate issued by the Institution.

（2）在本合同第21条规定的保证期限内，如发现货物的质量及（或）规格与本合同规定不符，买方应申请检验机构检验，并有权据检验证书向卖方索赔。

Within the guarantee period stipulated in Clause 21 hereof should the quality and（or） the specifications of the goods be found not in conformity with the contracted stipulations, the Buyer shall arrange for an inspection to be carried out by the Institution and have the right to claim against the Seller on the strength of the inspection certificate issued by the Institution.

23.迟交和赔偿 Delayed Delivery and Penalty：

除非发生不可抗力，卖方延迟交货时应向买方每天支付相当于迟交货物总值的_____%的迟交赔偿。此项赔偿总额不超过全部迟交货物总值的____%。如迟延交货超过原定期限____天时，买方有权解除本合同，但卖方仍应向买方缴付以上规定之赔偿。

In case of delayed delivery, except for Force Majeure cases, the Seller shall pay to the Buyer the______% of total invoice value of delayed goods every day as penalty. However, in any event,the total amount of penalty shall not, exceed ______% of the total value of the delayed goods. In case the period of delay exceeds ______days since the stipulated delivery date, the Buyer have the right to rescind this Contract but the Seller shall not thereby be exempted from the payment of the penalty.

24.不可抗力 Force Majeure：

因不可抗力事件致使延迟交付或交付不能，无论卖方或买方概不承担责任。但受影响的一方应立即将事故通知另一方，并于事故发生后_____天内将事故发生地政府主管机关或商会出具的事故证明书用空邮寄给另一方为证，否则要承担延迟通知或未通知的责任。

Force Majeure:Neither the Seller nor the Buyer shall be held responsible for late delivery or non-delivery due to Force Majeure. However, the affected party shall inform the other party immediately of such incident and within _____days thereafter, shall send by airmail to the other party a certificate issued by a competent government authority or the chamber of commerce which is located at the place where the incident occurs as evidence thereof.Othewise, the affected party shall not be exempted from the responsibility of its non-acknowledgement or late acknowledgement.

25.仲裁 Arbitration：

因本合同发生的争议，应当协商解决，协商不成的，提请上海仲裁委员会按其仲裁规则进行仲裁（仲裁地点：上海市江宁路445号时美大厦6楼A座）。

Any dispute arising out of or in connection with this Contract shall be settled through negotiation and conciliation. Failing in reaching a settlement, the dispute shall be submitted to Shanghai Arbitration Commission for arbitration. It will be conducted in accordance with the Commission’s Arbitration Rules that are in effect at the time of applying for the arbitration( Place of arbitration: No.445,Jiangning Rd, Shanghai, Floor 6, Shimei Building A ).

26.法律适用 Applicable Law：

□本合同适用《联合国国际货物销售合同公约》。

This Contract is governed by United Nations Convention on Contract for the International Sale of Goods.

□本合同适用中华人民共和国法律。

This Contract is governed by the Laws of the People's Republic of China.

27.合同的补充与修改 Supplement and Modification:

(1) 在本合同履行过程中，合同双方继续采用函电（包括但不限于传真、电邮、电传、电报、信件）对合同未尽条款做进一步磋商，或对合同条款做非实质性修改，凡由双方确认的，均视为有效的。

During the performance of this contract, any mutually recognized correspondences between both parties (including but not limited to fax, E-mail, telex, telegram and letter) in respect of further negotiations on terms not involved in this Contract or making non-material modifications to  the terms hereto, shall be considered effective to this Contract.

（2）本合同生效后，如双方一致同意对合同条款做实质性修改，应当签署书面修改协议。

Where, after this contract becomes effective, both parties reach a consensus to make material modifications to the terms of this contract, an Amendment in writing shall be executed by both parties.

28.声明与保证 Representation and Warrants：

（1）各方是在其国内或州内正式成立和注册的公司或商业主体，符合各项规定，有权根据其本国法律签订、履行本合同。

Each party is duly organized and registered and in good standing in its country or state as a company or business subject and has right and authority to enter into and perform this contract under its civil law.

（2）各方签订、递交和履行本合同已通过一切必要的行为获得正式授权。

Execution,delivery and performance of this contract for each party has been duly authorized by all necessary action.

29.合同文字 Languages:

本合同中英两种文字具有同等法律效力，在文字含义上若有分歧，以中文为准。

This contract is written both in Chinese and English and the two versions are of the same legal effect. Where dispute occurs in the interpretation of the two versions, the Chinese version shall prevail.

30.附加条款 Additional Clause：

31．本合同共______份，自双方代表签字或盖章之日起生效。
